Welcome to Ashtari Carpets! These Terms of Service govern your use of our website and services. By accessing or purchasing from our online store, you agree to be bound by these terms.

1. General

  • Every purchase order/order confirmation (or invoice) signed (or paid) by the customer binds them irrevocably upon receipt of our confirmation, except for exceptions determined by the law.

  • Unless there is an express and written agreement between the parties, the legal relationship between R.ASHTARI BV, with its registered office at Oudeleeuwenrui 8A, 2000 Antwerp, VAT number BE 0567.632.221 RPR Antwerp (hereinafter referred to as Ashtari), and the customer is governed by these general terms.

  • These terms supersede all prior written or oral agreements.

  • Ashtari reserves the right to amend these terms at any time.

2. Proposals and Price Lists

  • All proposals, price lists, and offers are indicative and subject to change.

  • Price adjustments may occur due to new taxes, raw material costs, or currency fluctuations.

  • Prices and product characteristics can only be changed by mutual agreement.

3. Selling Prices

  • Prices are non-binding, excluding VAT unless otherwise stated.

  • Prices are subject to errors and will not be discounted unless explicitly agreed in writing.

  • Any manufacturer price changes between order and delivery will be passed on to the buyer.

4. Delivery Times

  • Delivery times are indicative and not binding.

  • Late delivery does not entitle the buyer to cancel the order or claim compensation.

  • Partial deliveries may be made and invoiced separately.

  • Orders for ready-to-ship items cannot be postponed without covering associated costs.

5. Force Majeure

  • Ashtari is exempt from any obligations due to force majeure, including war, strikes, fires, quarantines, lockouts, mutinies, machinery damage, accidents, explosions, or other disruptions beyond its control.

  • Any consequences arising from these events absolve Ashtari from contractual obligations without prior notice or compensation.

6. Warranty

  • In case of defects, Ashtari may either replace the defective products or offer a price reduction.

  • Liability is limited to product replacement or refund.

  • Ashtari is not responsible for misuse of products or indirect damages.

  • Installation is the responsibility of the buyer.

7. Buyer's Condition

  • If the buyer’s financial situation changes (e.g., bankruptcy, insolvency), Ashtari may demand guarantees or suspend fulfillment of orders.

8. Payment

  • Payments can be made in cash (up to €3,000) or by bank transfer.

  • Payments must be completed by the invoice due date.

  • Late payments incur a 15% penalty and 12% late payment interest from the due date.

  • Any legal fees due to non-payment will be borne by the buyer.

  • The buyer cannot invoke a right of retention or set-off against Ashtari.

  • Any payment made by the buyer is considered as satisfying the oldest outstanding debt.

9. Termination by the Buyer

  • Orders are binding. Unilateral cancellation by the buyer incurs a 50% cancellation fee, excluding VAT.

10. Ownership Rights

  • Products remain Ashtari's property until full payment.

  • Buyers may not resell or transfer unpaid products.

  • Carpet samples remain Ashtari’s property unless agreed otherwise.

11. Product Characteristics

  • Ashtari carpets are handcrafted, leading to minor variations in size and color.

  • Such variations up to 5% are considered acceptable and part of the product’s uniqueness.

12. Complaints and Responsibilities

  • Ashtari is not responsible for installation-related damages.

  • Sample colors and textures are indicative and may slightly differ from final products.

13. Governing Law & Jurisdiction

  • All disputes are subject to Belgian law.

  • The Court of Antwerp has exclusive jurisdiction.

  • The Dutch language shall govern any legal proceedings.

  • These agreements are not governed by the Vienna Sales Convention of April 11, 1980 (CISG) but exclusively by Belgian law.

14. Changes to Terms of Service

  • We may update these terms at any time. Continued use of the website implies acceptance of any changes.
